NSW directors Adam Rana and Joseph Tarzia fined $10,000 each for failing to have director identification numbers

Two New South Wales directors have been convicted in the Downing Centre Local Court in Sydney on 19 May 2026 and fined $10,000 each for failing to comply with director identification requirements.

Adam Rana was convicted ex-parte for contravening section 1272C(1) of the Corporations Act 2001 for failing to have a director identification number. Mr Rana is a director of four companies operating in the construction and civil works sector which are listed in the background of this media release.

Joseph Tarzia was also convicted ex-parte of the same offence for failing to have a director identification number. Mr Tarzia is a director of 27 companies, many of which were in the construction industry, and which are listed in the background of this media release.

A director ID is a unique identifier issued to a director after their identity has been verified. It is designed to prevent the use of false or fraudulent director identities and to improve the traceability of directors across companies.

Failing to have a director identification number is a strict liability offence, meaning liability arises regardless of intent. The $10,000 fines imposed by the Court reflect the seriousness of failing to comply with director ID obligations and serves as a deterrent to the broader director community.

ASIC has prosecuted 11 directors for failing to comply with director ID requirements resulting in over $40,000 in fines and reminds all directors that obtaining a director ID is a mandatory legal requirement.

Background

All directors are required by law to verify their identity with Australian Business Registry Services before receiving a director ID. Directors must apply for their director ID within the following timeframes:

  • Directors appointed before 1 November 2021 had until 30 November 2022 to apply.
  • New directors appointed for the first time between 1 November 2021 and 4 April 2022 had 28 days from their appointment to apply.
  • From 5 April 2022, intending new directors must apply before being appointed.

The current maximum penalty for an offence against section 1272C(1) of the Act is 60 penalty units, being a fine of $19,800.

Mr Rana and Mr Tarzia have until 16 June 2026 to apply to have the conviction set aside.
